OrbiCypher
Terms of Service
The Terms of Service governing the OrbiCypher website and the website design, development and related digital services offered through it.
Effective date
29 October 2026. Last updated: 29 October 2026.
1. Business identity and acceptance
These Terms of Service (“Terms”) govern your use of the OrbiCypher website at https://orbicypher.com and the website design, development and related digital services offered through it. OrbiCypher is operated by Prasad Panchal, a sole proprietor (“OrbiCypher,” “we,” “us” or “our”). Business contact details: • Proprietor and primary point of contact: Prasad Panchal • Business name: OrbiCypher • Address: Phale Heights, Ambegaon Bk, 411046, Maharashtra, India • Email: hello@orbicypher.com • Telephone: +91 7218662541 • Website: https://orbicypher.com By using the website, you agree to the provisions applicable to your use. However, merely visiting the website does not necessarily create a paid service contract. A project contract is formed when a quotation, proposal or project agreement is accepted in the manner stated in that document. If you do not agree to these Terms, please do not use the website or engage our services.
2. Services
OrbiCypher provides website design and development services, which may include: • Business and informational websites. • Landing pages and promotional websites. • E-commerce websites. • Website redesign and improvements. • Website maintenance and technical support. • Website integrations and other agreed digital services. The precise services, features, deliverables, technology, schedule, fees and support arrangements for each project will be stated in the applicable quotation or written agreement. A service description on our website is general information and does not guarantee that a particular feature, delivery date or outcome will be included in every project.
3. Eligibility and authority
You must have the legal capacity to enter into a binding agreement. If you engage our services on behalf of a company or another organisation, you confirm that you are authorised to act for that organisation. Where a client is an organisation, references to “you” and “client” include that organisation where appropriate.
4. Enquiries, quotations and project agreements
Submitting an enquiry does not oblige either party to proceed with a project. A quotation or proposal may specify: • The project scope and deliverables. • Fees, currency, taxes and payment milestones. • Estimated start and delivery dates. • Included revisions and additional-work charges. • Client responsibilities and required materials. • Domain, hosting, software and third-party costs. • Intellectual-property arrangements. • Maintenance, warranty and support terms. Unless a different validity period is stated, a quotation remains open for acceptance for 30 calendar days from its issue date. An expired or unaccepted quotation may be revised. Work begins after the required acceptance, initial payment and necessary information or access have been received, unless otherwise agreed in writing. A project-specific agreement takes precedence over these Terms to the extent that it expressly addresses the same subject differently.
5. Scope changes and revisions
The agreed fee covers only the deliverables included in the accepted quotation or project agreement. A revision is a modification to an existing agreed deliverable that remains within the original scope. New features, additional pages, new integrations, substantial redesigns, changed requirements and work arising from new instructions may be treated as additional work. We will communicate the proposed additional scope, charges and any material timeline changes and seek approval before proceeding with chargeable out-of-scope work. The number of included revisions will be stated in the quotation where applicable. If no limit is stated, the parties should agree on a reasonable review and revision process for the project.
6. Client responsibilities
You agree to: 1. Provide accurate project information, content, branding, images and instructions. 2. Ensure that you have the rights and permissions required to use materials supplied to us. 3. Provide feedback, approvals and decisions within reasonable timeframes. 4. Provide authorised access to domains, hosting accounts and third-party services where required. 5. Review deliverables and promptly report material errors or discrepancies. 6. Pay agreed fees and approved additional charges by their due dates. 7. Ensure that your website content, products, services and business practices comply with applicable law. 8. Protect account credentials and notify us promptly of suspected unauthorised access. 9. Avoid supplying unlawful, infringing, deceptive or malicious content. We are not responsible for delays caused by missing content, late approvals, inaccessible accounts, client-requested changes or third-party issues outside our reasonable control. Where such events affect delivery, we will communicate material delays where reasonably practicable.
7. Fees, payments and taxes
The applicable quotation or project agreement will specify the fees, currency, payment schedule and accepted payment methods. Unless otherwise agreed in writing: • An agreed advance payment may be required before work begins. • Invoices are payable by the stated due date. • Additional work requires approval before it is undertaken. • Third-party costs are excluded unless expressly included in the quotation. • Third-party subscriptions and renewals may be payable directly by the client. Third-party costs may include domain registration, hosting, premium themes, plugins, stock assets, fonts, email services, APIs and software licences. Applicable taxes will be handled in accordance with the law. OrbiCypher is currently not registered for GST. We will not represent ourselves as GST-registered or provide a GSTIN unless our registration status changes. If registration or another tax obligation becomes applicable, we will address it as required by law. Where an invoice is overdue, we may provide written notice and a reasonable opportunity to remedy the non-payment before pausing affected work or withholding unpaid deliverables, subject to the project agreement and applicable law. We will not impose unapproved charges merely because a project requires more effort than anticipated, except where the agreement permits an adjustment or you approve additional work.
8. Cancellation and refunds
Website development involves custom work, planning and resources. Accordingly, payments are generally non-refundable once the corresponding work has commenced, subject to the project agreement and applicable law. If a project is cancelled, the parties will account for: • Work completed up to the effective cancellation date. • Deliverables already supplied. • Reasonable, documented third-party commitments that cannot be recovered. • Amounts paid for work or services not supplied, where a refund is required by the agreement or applicable law. We will not retain payments where doing so would violate a mandatory legal requirement. If we cancel a project without client fault, we will assess the work completed, the payments received and the remaining contractual obligations, and provide any refund or other remedy required by the agreement and applicable law. If you believe a deliverable materially fails to meet the agreed specifications, contact us with the project reference and supporting details. We will review the issue and, where appropriate, arrange correction, completion, a proportionate adjustment or another remedy required by law. To request cancellation or a refund review, email hello@orbicypher.com. Please include your project reference, relevant payment information and the reason for the request. Nothing in this section excludes or limits non-excludable statutory rights, including any mandatory consumer remedies.
9. Delivery, review and acceptance
Delivery dates are estimates unless expressly agreed in writing as binding dates. When we provide a deliverable for review, you should check it against the agreed specifications and report material defects within the review period stated in your project agreement. If no review period is stated, please report such issues within seven calendar days of delivery. This period helps manage project administration; it does not remove any non-excludable statutory rights. Requests for new features, changed preferences or work outside the agreed scope may require a separate quotation.
10. Intellectual property
The sections below describe how intellectual property is handled.
10.1 Client-supplied materials
You retain your rights in materials you provide, subject to any third-party rights. You grant us a limited permission to use, reproduce and modify those materials as reasonably necessary to perform the agreed services. You represent that you have the necessary rights and permissions for this use.
10.2 Custom deliverables
Subject to full payment of the amounts due for the relevant project, rights in custom deliverables created specifically for you will transfer or be licensed as expressly stated in the project agreement. Where a formal intellectual-property assignment or licence is intended, the project agreement should specify its scope and permitted uses. Nothing in these Terms transfers rights that we do not own or have authority to transfer.
10.3 Pre-existing materials and reusable components
We retain rights in our pre-existing tools, generic code, methods, know-how, reusable components, templates and development processes, except where a written agreement expressly provides otherwise. Where these materials are incorporated into a deliverable, you receive the rights reasonably necessary to use that deliverable for its intended purpose, subject to the project agreement and applicable third-party licences.
10.4 Third-party software and assets
Open-source software, stock images, fonts, plugins, themes, frameworks, libraries and other third-party materials remain subject to their respective licences and terms. The relevant rights may be limited, non-transferable or subject to additional fees.
10.5 Portfolio use
Unless you request confidentiality in writing or your project agreement provides otherwise, we may identify a completed project and display publicly available portions of the resulting website in our portfolio or marketing materials. We will not knowingly publish confidential client information or private credentials as part of this promotion. Please agree any portfolio restrictions with us before work begins.
11. Domains, hosting and third-party services
Domains, hosting, email, analytics, payment gateways, plugins, APIs and other external services may be provided by independent third parties. Unless the project agreement says otherwise: • The client is responsible for third-party subscription fees and renewals. • The client should retain control of accounts registered in their name. • Third-party terms, availability, pricing and technical requirements apply. • We do not guarantee uninterrupted availability or continued operation of an independent provider. • We are not responsible for independent third-party outages, changes or failures, except to the extent liability cannot lawfully be excluded or the issue results from our own breach. We will identify material third-party dependencies within the agreed project scope where reasonably practicable.
12. Maintenance, support, security and backups
Ongoing hosting, maintenance, monitoring, backups, updates and technical support are separate services unless expressly included in a quotation or project agreement. Where such services are purchased, their scope, fees, response times, exclusions and duration will be documented separately. We may implement reasonable security measures within the agreed scope, but no website or internet-connected system can be guaranteed to be entirely secure, error-free or continuously available. Unless expressly agreed otherwise, the client is responsible after handover for maintaining access credentials, updates, backups and ongoing security. Recovery work following a third-party incident or an issue outside the agreed scope may require an additional quotation.
13. Search rankings, performance and business outcomes
We will use reasonable care and skill to deliver services in accordance with the agreed specifications. Unless expressly guaranteed in a written agreement, we do not guarantee particular search-engine rankings, traffic volumes, leads, sales, conversions, revenue, profitability, indexing dates or business outcomes. Results depend on factors outside our control, including competition, content, marketing, hosting, user behaviour, third-party platforms and algorithm changes.
14. Client content and acceptable use
You are responsible for the legality, accuracy and appropriateness of your content, products, services, claims, privacy notices and business practices. You must not use our services to facilitate fraud, phishing, malware distribution, unlawful data collection, infringement or other unlawful activity. We may refuse or suspend work where we reasonably believe it would facilitate unlawful activity or create a material security or legal risk. Where practicable, we will explain the issue and allow it to be addressed.
15. Confidentiality
Each party must take reasonable steps to protect confidential information received from the other party and use it only for the relevant project or another authorised purpose. Confidential information does not include information that is publicly available without breach, was lawfully known beforehand, was independently developed, or must be disclosed under law. Where disclosure is legally required, the receiving party may disclose the information required by law and, where legally permitted, notify the other party.
16. Privacy and communications
Our handling of personal information is described in the OrbiCypher Privacy Policy and Cookie Policy published on our website. We may contact you about enquiries, quotations, project work, invoices, security issues and other service-related matters. OrbiCypher does not currently send promotional marketing messages. If this practice changes, we will handle any promotional communications in accordance with applicable law and any consent or other legal basis required.
17. Suspension and termination
Either party may terminate a project as permitted by the project agreement or applicable law. We may suspend affected work after reasonable notice where there is a material overdue payment, a material breach of these Terms, a serious unresolved security risk or suspected unlawful use. Immediate action may be necessary to address urgent security threats or legal obligations. On termination, the parties will settle amounts properly due and handle completed work, deliverables, access, confidential information and any applicable refunds in accordance with the agreement and law. Termination does not affect accrued rights or provisions that by their nature should continue, including payment obligations, intellectual property, confidentiality, liability and dispute provisions.
18. Availability and events beyond reasonable control
The website or services may be temporarily unavailable due to maintenance, upgrades, security incidents or circumstances outside our reasonable control. Neither party will be liable for delays caused by events beyond its reasonable control, to the extent permitted by law. The affected party should notify the other where reasonably practicable and take reasonable steps to reduce the impact. This section does not excuse payment for services already delivered or remove mandatory legal obligations.
19. Warranties and limitation of liability
We will use reasonable care and skill in performing the services agreed with you. Except for express written commitments and rights that cannot lawfully be excluded, we do not guarantee that the website or services will be uninterrupted, entirely error-free or suitable for every possible purpose. To the maximum extent permitted by applicable law, neither party will be liable for indirect or consequential losses that were not reasonably foreseeable when the relevant agreement was made. Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury where such limitation is prohibited, or any other liability that cannot lawfully be excluded or restricted. Any financial cap on liability must be expressly agreed in the relevant project agreement and applies only to the extent legally enforceable. These Terms do not remove mandatory consumer rights or remedies.
20. Governing law and disputes
These Terms are governed by the laws of India, subject to mandatory laws and protections applicable to a particular transaction or client. The parties should first attempt to resolve disputes in good faith through written communication. If a dispute cannot be resolved informally, either party may pursue available legal remedies. Subject to applicable law and the jurisdiction of competent courts, disputes may be brought before competent courts in Maharashtra, India. This clause does not prevent a consumer from exercising a mandatory right to bring a claim before another court, tribunal or dispute-resolution body where applicable law permits or requires it. For substantial projects, the parties may agree to additional dispute-resolution arrangements in a separate written contract.
21. Changes to these Terms
We may update these Terms to reflect changes in our services, business practices or legal obligations. The latest version will be published on our website with an updated date. Changes will not retroactively remove accrued rights or modify an existing project agreement except where agreed by the parties or permitted by law. Where notice or consent is legally required for a material change, we will take the required steps.
22. Severability and waiver
If a provision is found unenforceable, it will be interpreted or limited to the extent necessary to make it enforceable where legally permissible. The remaining provisions will continue to apply. Failure to enforce a provision immediately does not constitute a permanent waiver of that provision.
23. Entire agreement
These Terms, together with the accepted quotation, project agreement and documents expressly incorporated into them, govern the relevant subject matter. A project-specific written agreement takes precedence where it expressly varies these Terms.
24. Contact and complaints
For questions about these Terms, project agreements, cancellations or complaints, contact: Prasad Panchal — Proprietor, OrbiCypher Phale Heights, Ambegaon Bk, 411046, Maharashtra, India Email: hello@orbicypher.com Telephone: +91 7218662541 Website: https://orbicypher.com We will review enquiries and complaints reasonably and within any timeframe required by applicable law.
